Anita Lee

Anita Lee, J.D., LL.M., is the founder of The Law Office of Anita Lee PLLC, where, for over a decade, she has advised business owners and entrepreneurs regarding the ERISA, IRS, and corporate governance matters associated with the Rollover as Business Start-Up (“ROBS”) structure.

Anita advises business owners and entrepreneurs regarding transactions involving ROBS structures throughout the lifecycle of the business. She provides counsel during the formation and acquisition stages when entrepreneurs are starting or acquiring businesses using a ROBS structure and continues to advise clients as the businesses operates through the ROBS structure. Her practice includes advising on corporate governance matters, capitalization and investor transactions, stock redemptions and transfers,  prohibited transactions prevention and correction, ongoing regulatory compliance and risk management, and corporate restructuring considerations.

During exit transactions, Anita advises business owners regarding stock and asset sales involving ROBS structures, with particular attention to the nuanced legal and compliance considerations associated with plan termination, stock redemptions, and transfers of employer securities.

Prior to founding her practice, Anita served as in-house corporate counsel for Guidant Financial for five years, where she advised on corporate governance matters, business contracts, retirement benefits taxation, 401(k) plan compliance and administration, prohibited transaction issues, and regulatory compliance matters involving ROBS structures. During her time at Guidant, Anita regularly worked with outside counsel on matters involving Internal Revenue Service and Department of Labor audits relating to ROBS structures, providing her with direct experience and insight into the regulatory and operational considerations associated with ROBS businesses and qualified retirement plans.

Anita received her LL.M. in Taxation from the University of Washington School of Law and her J.D. from Seattle University School of Law. She has been admitted to practice law in Washington State since 2011.
